Non-Compete Agreements: Legal Requirements in India

Non-compete agreements protect your business from employees joining competitors. But they must be reasonable to be enforceable in India.

Enforceable Non-Compete Requirements

  • Legitimate Business Interest: Protect trade secrets, client relationships, goodwill
  • Reasonable Duration: 6 months to 2 years (5+ years is too long)
  • Reasonable Scope: Match your actual business geography and industry
  • Consideration: Employee receives something in exchange (employment, raise)
  • Not Unreasonable: Can’t prevent all employment in the profession

Legal Basis

Non-competes are governed by Section 27 of the Indian Contract Act, 1872. Courts enforce only reasonable restrictions.

Strengthen Your Protection

Combine non-competes with non-solicitation clauses (prevent soliciting clients/employees). These are easier to enforce.
