Common Questions About Corporate & Company Law

What is the best business structure for my startup — Pvt Ltd, LLP, or OPC?

The right structure depends on your funding plans, ownership model, liability preferences, and compliance appetite. A Private Limited Company is best for startups planning to raise external investment. An LLP offers operational flexibility with limited liability. A One Person Company suits solo founders with modest scale. We advise on the optimal structure for your specific business model and growth objectives.

What is a shareholder agreement and why is it essential?

A shareholder agreement governs the relationship between the company's shareholders — covering voting rights, dividend entitlements, transfer restrictions, anti-dilution protections, drag-along and tag-along rights, and exit mechanisms. Without one, disputes between founders or investors can result in expensive litigation. We draft shareholder agreements that protect all parties while keeping the company aligned toward its business objectives.

What are annual MCA compliance requirements for a Pvt Ltd company?

Every private limited company must annually file Form AOC-4 (financial statements), Form MGT-7 (annual return), hold a minimum of two board meetings per year, maintain statutory registers, and file event-based forms for changes in directors, shareholding, or registered office. Non-compliance attracts penalties and can result in director disqualification. We manage all MCA compliance for our retainer clients.

What is an oppression and mismanagement petition?

Under Sections 241-242 of the Companies Act, 2013, any member holding 10% or more of shares can file a petition before the NCLT alleging that the company's affairs are being conducted in a manner oppressive to some members or prejudicial to the company's interests. This is a powerful remedy available to minority shareholders facing exclusion, fund diversion, or board deadlock. We represent both petitioners and respondents in such matters.

What legal documents are required for a startup fundraising round?

A typical seed or Series A round requires: term sheet, shareholders' agreement or investment agreement, share subscription agreement, board and shareholder resolutions, amended articles of association, ESOP plan documentation, and applicable RBI/FEMA filings for foreign investment. We manage end-to-end documentation for fundraising rounds — ensuring speed, compliance, and founder-friendly terms.

What is DPIIT startup recognition and what are its benefits?

DPIIT (Department for Promotion of Industry and Internal Trade) recognition is available to eligible startups and provides significant benefits — including income tax exemptions under Section 80IAC, self-certification under labour and environmental laws, fast-track patent examination, and access to government schemes. We assist startups with the recognition application and related compliance.
